Where does Rita talk to Nancy about Phil? Basically Larry introduces the two women, who say 'hi' simultaneously to each other, then Rita turns to Larry and asks him something about the party and if they should contact Phil. Nancy then jumps in and says, "Phil Connors? He's already at the party" And Rita says nothing. They move on. This isn't a conversation between two women.

I think this movie passes one of the three tests.

the Rita/Nancy exchange certainly does not qualify as a conversation, as Ekatz pointed out. However the old ladies in the car do have a "conversation" about their flat tire... assuming a conversation only needs to involve a handful of lines back and forth.

Very tenuous rating disagreement, but when Phil introduces Rita to Debbie Kleiser (the woman getting married) in the diner, Rita says “lovely ring” to which Debbie replies “thanks” while Phil drags Rita away. I think this might just barely pass the test, although it’s only two lines and it’s related to marriage.
